1) Acceptance of terms

By accessing our website or engaging Halulabs (“we”, “us”) for services, you agree to these Terms. If you act for an organization, you represent you have authority to bind it.

2) Services and scope

  • Web Development: modern web apps, integrations, deployment advisory.
  • GIS Solutions & Consultancy: modelling, mapping, spatial analysis, dashboards, training.
  • Audio Mixing & Mastering: mixing sessions, mastering, and deliverables for release.

Specific deliverables, timelines, responsibilities, and acceptance criteria are defined in a proposal or Statement of Work (“SOW”).

3) Engagement, client responsibilities

  • You’ll provide timely inputs, decisions, and access needed to perform the SOW.
  • You confirm you have rights to materials you supply (e.g., datasets, content, audio stems).
  • You won’t use our services for unlawful or harmful purposes, nor interfere with normal operation.

4) Fees, invoicing, and refunds

  • Fees, milestones, and expenses are set out in the SOW/proposal.
  • Deposits may be required; late payment may pause delivery or access to assets.
  • Unless agreed otherwise, fees are non‑refundable once work begins, except where required by law.
  • Taxes, duties, and bank/processing charges are your responsibility unless expressly included.

5) Intellectual property

  • Your pre‑existing IP remains yours; ours remains ours.
  • Deliverables: upon full payment, you receive ownership or a license as specified in the SOW. Third‑party components remain under their original licenses.
  • Open source: we may use or contribute open‑source components where suitable; those licenses still apply.
  • Portfolio: unless you opt out in writing, we may show your logo and non‑confidential screenshots/thumbnails (e.g., project title cards like on our Projects page) for portfolio purposes.

6) Confidentiality

Each party will protect the other’s confidential information using reasonable care and use it only to deliver or receive the services. This excludes information that is public, independently developed, previously known, or legally compelled to be disclosed (with notice when lawful).

7) Data protection & privacy

We collect minimal personal data through our Contact page only to respond. See our Privacy Policy and Cookie Policy.

8) Acceptable use and domain‑specific notes

  • No unlawful, harmful, or fraudulent activity; no attempts to disrupt or gain unauthorized access.
  • GIS/DRM: outputs are decision‑support only; modelling assumptions and third‑party data can introduce uncertainty. Do not use outputs to harm or target communities. Follow official guidance for life‑safety.
  • Audio: you warrant rights to submitted content; we process stems solely to deliver the services and will not publish your audio without consent.

9) Deliverables, reviews, and acceptance

We’ll provide preview/staging links or files for review. Unless the SOW states otherwise, please submit consolidated feedback within 7 business days of delivery. Absent material objections in that period, deliverables are deemed accepted.

10) Warranties and disclaimers

  • Services are provided “as is” and “as available.” We disclaim implied warranties to the maximum extent permitted by law.
  • We aim for high availability and quality, but uninterrupted or error‑free operation is not guaranteed.
  • GIS/DRM outputs are not a substitute for official directives or professional judgement.

11) Limitation of liability

To the fullest extent allowed, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, or data. Our total liability for claims related to the services is capped at fees paid for the specific service in the 3 months before the event giving rise to the claim.

12) Indemnification

You will indemnify and hold Halulabs harmless from claims arising from (a) your content/materials, (b) your breach of these Terms, or (c) violation of law or third‑party rights.

13) Changes in scope

Change requests may adjust scope, timelines, and fees via written agreement or SOW amendment. Out‑of‑scope work is billed at agreed rates.

14) Suspension and termination

Either party may terminate for material breach if not cured within a reasonable notice period. Upon termination, you pay for work performed to date and receive eligible deliverables per the SOW.

15) Subcontractors and service providers

We may engage vetted subcontractors or service providers (e.g., hosting, anti‑bot verification, scheduling) who are bound by confidentiality and data protection obligations appropriate to their tasks.

16) Governing law and disputes

These Terms are governed by the laws of Malawi. The parties will first attempt to resolve disputes amicably; failing that, venue lies with the competent courts in Malawi, unless mutually agreed otherwise.

18) General

  • Severability: unenforceable provisions won’t affect the remainder.
  • Assignment: neither party may assign without consent, except to a successor in interest.
  • Force majeure: no liability for delays outside reasonable control.
  • Entire agreement: these Terms + the SOW constitute the full agreement.
  • No waiver: failure to enforce is not a waiver.
